End User License Agreement (EULA)

Effective Date: 10/3/2024

This End User License Agreement (Agreement) is made between Blaze Bids, Inc. (Licensor) and the dealership / Wholesaler (Licensee) accessing or using the Blaze Bids website (www.blazebids.com) to purchase vehicles submitted by private party sellers.

By accessing or using the Site, the Licensee agrees to the terms of this Agreement.

1. License Grant
   1. The Licensor grants the Licensee a limited, non-exclusive, non-transferable license to access and use the Site for the purpose of purchasing vehicles.

• Membership and Fees
  • The Licensee agrees to enroll in a monthly membership program for access to the Site. The membership fee is [$750.00 USD] and will be billed monthly.
  • The membership is subject to a 6-month commitment. The Licensee agrees to maintain membership for the full 6-month term. Cancellation prior to the completion of the term may result in the obligation to pay the remaining fees for the duration of the contract.

• ACH Transactions
  • The Licensee must sign up for Automated Clearing House (ACH) transactions with Blaze Bids to facilitate payments for vehicle purchases and to cover membership costs.  Membership dues will automatically be deducted on the 1^st of every month.  The Licensee agrees to provide all necessary information and comply with any additional requirements related to ACH transactions.

• Transaction Fees
  • A service fee of 1% of selling price (capped at $300 USD) will be payable by the Licensee only after the seller approves the winning offer. The fee will not be charged merely because an auction closes.

• Price Adjustments
  • The Licensee reserves the right to negotiate and change the price with the seller upon physical examination of the vehicle. Any adjustments must be mutually agreed upon by both the Licensee and the seller before finalizing the transaction.

• Use of the Site
  • The Licensee agrees to use the Site in accordance with all applicable laws and regulations. The Licensee shall not:
    • Use the Site for any illegal or unauthorized purpose.
    • Attempt to gain unauthorized access to any part of the Site or any other systems or networks connected to the Site.
    • Copy, modify, or distribute any content from the Site without prior written consent from the Licensor.

• Registration and Account Security
  • The Licensee will be required to register for an account to access features of the Site. The Licensee agrees to provide accurate, current, and complete information during the registration process and to update such information as necessary.
  • The Licensee is responsible for maintaining the confidentiality of their account password and for all activities that occur under their account. The Licensee agrees to notify the Licensor immediately of any unauthorized use of their account.

• Payment Terms
  • The Licensee agrees to pay all membership fees and any additional fees associated with vehicle purchases in accordance with the pricing terms provided on the Site. All payments must be made through accepted methods specified by the Licensor.

• Disclaimer of Warranties & liabilities
  • The Site is provided on an “as-is” and “as-available” basis. The Licensor makes no representations or warranties of any kind, express or implied, regarding the operation of the Site or the information, content, materials, or products included on the Site.

1. Limitation of Liability

• To the fullest extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Site or the inability to use the Site.

• The licensor is not responsible for the validity of the submission.  Licensor must do due diligence regarding the condition of the vehicle. Blaze Bids, Inc. will do their due diligence to provide as much information about the vehicles as possible.

1. Termination

• The Licensor may terminate this Agreement at any time, with or without cause, by providing written notice to the Licensee. Upon termination, the Licensee shall cease all use of the Site. If terminated before the completion of the 6-month contract, the Licensee remains liable for the remaining membership fees.

1. Governing Law

• This Agreement shall be governed by and construed in accordance with the laws of California, USA without regard to its conflict of law principles.

1. Changes to this Agreement

• The Licensor reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on the Site. The Licensee’s continued use of the Site after any changes constitutes acceptance of the new terms.
